Agreement to Terms

By accessing or using MrsNudgelyMail, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the service.

These terms apply to all users of the platform, including account holders, team members, and any person who accesses MrsNudgelyMail through an authorized account. Your continued use of the service following any modifications to these terms constitutes acceptance of those changes.

Description of Service

MrsNudgelyMail is an email outreach automation platform operated by StellarClose LLC. The platform provides tools for creating, scheduling, and sending email campaigns from your own email account.

Our services include, but are not limited to:

• Email campaign creation and management
• Contact list management and organization
• Email template design and storage
• Campaign scheduling and automated sending
• Performance tracking and analytics
• Compliance tools and guidance

MrsNudgelyMail is a technology platform that facilitates email sending through your own email accounts and providers. We do not send emails on your behalf; rather, we provide the tools that allow you to manage and automate your own email outreach.

Account Registration

To use MrsNudgelyMail, you must create an account and provide accurate, current, and complete registration information. You agree to update your information promptly if it changes.

By registering, you represent and warrant that:

• You are at least 18 years of age. MrsNudgelyMail is not intended for use by anyone under the age of 18.
• You will provide truthful information. All registration details, including your name, email address, and business information, must be accurate.
• You are responsible for your password. You must maintain the confidentiality of your account credentials. You are fully responsible for all activity that occurs under your account.
• One person per account. Accounts are for individual use. You may not share your login credentials with others or allow multiple people to use a single account.

You must notify us immediately at support@mrsnudgelymail.com if you suspect any unauthorized access to or use of your account.

Acceptable Use Policy

This is the most critical section of our Terms of Service. MrsNudgelyMail is designed for legitimate, lawful email outreach. Violations of this Acceptable Use Policy may result in immediate account suspension or termination without prior notice.

You MUST comply with all of the following requirements:

• Required Comply with all applicable email laws. You must comply with the CAN-SPAM Act (United States), the General Data Protection Regulation (GDPR, European Union), the Canada Anti-Spam Legislation (CASL), and all other applicable local, state, national, and international laws and regulations governing email communications.
• Required Include a valid physical mailing address. Every email you send through MrsNudgelyMail must contain a valid physical postal address for you or your organization, as required by the CAN-SPAM Act and other regulations.
• Required Honor all unsubscribe requests immediately. When a recipient requests to be removed from your mailing list, you must process that request promptly. MrsNudgelyMail provides unsubscribe handling tools, and you must not circumvent or override them.
• Required Maintain proper consent records. You must have a lawful basis for contacting each recipient on your list and be able to demonstrate consent if required by applicable law.

You MUST NOT engage in any of the following prohibited activities:

• Prohibited Sending emails to purchased lists without proper consent verification. Purchased, rented, or scraped contact lists must not be used unless you have independently verified that every recipient has given proper consent to receive communications from you, as defined by applicable law.
• Prohibited Sending deceptive or misleading emails. You must not use false, misleading, or deceptive subject lines, sender names, or email content. All emails must accurately identify who is sending them and what they are about.
• Prohibited Sending malware, phishing, or fraudulent content. You must not use MrsNudgelyMail to distribute viruses, malware, ransomware, phishing attempts, or any other malicious or fraudulent content.
• Prohibited Impersonating another person or entity. You must not misrepresent your identity or affiliation. You must not send emails that appear to come from another person, company, or organization without their explicit authorization.
• Prohibited Promoting illegal products or services. You must not use MrsNudgelyMail to promote, advertise, or sell any products or services that are illegal under applicable law.
• Prohibited Exceeding your plan's sending limits. You must not exceed the daily, weekly, or monthly sending limits associated with your subscription plan. Attempts to circumvent sending limits are a violation of these terms.
• Prohibited Circumventing bounce or unsubscribe protections. You must not attempt to bypass, disable, or interfere with MrsNudgelyMail's built-in bounce handling, unsubscribe processing, or any other compliance and deliverability protections.

Email Sending

MrsNudgelyMail connects to and sends emails through your own email account (such as Gmail, Outlook, or another SMTP provider). Emails are not sent from MrsNudgelyMail's servers or email addresses.

You are the sender of record. Because emails originate from your email account, you are legally and technically the sender. StellarClose LLC is the technology provider that facilitates your sending, not the sender itself.

You bear full responsibility for the content of your emails. This includes the accuracy of your claims, the appropriateness of your messaging, compliance with advertising and consumer protection laws, and the suitability of your content for your audience.

MrsNudgelyMail may implement sending limits, throttling, and other safeguards to protect email deliverability and ensure responsible platform usage. You agree to abide by these safeguards.

Subscription and Payment

MrsNudgelyMail offers subscription plans that are billed on a monthly basis. Payment is processed through PayPal.

• Billing cycle. Subscriptions are billed monthly, starting on the date of your initial purchase. Your subscription will automatically renew each month unless cancelled.
• Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at support@mrsnudgelymail.com. Cancellation takes effect at the end of your current billing period.
• No refunds for partial months. If you cancel mid-cycle, you will retain access to the service until the end of your current billing period, but no prorated refund will be issued for the remaining days.
• Pricing changes. StellarClose LLC reserves the right to modify subscription pricing. We will provide at least 30 days' advance notice of any price changes via email. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.
• Failed payments. If a payment fails, we may suspend your account until the outstanding balance is resolved. Repeated payment failures may result in account termination.

Data and Privacy

When you use MrsNudgelyMail, we collect and store the contact data you upload to the platform. This data is processed solely for the purpose of enabling you to create and send your email campaigns.

We do not sell your data. StellarClose LLC will never sell, rent, or trade your personal information or your contacts' information to third parties for their marketing purposes.

We implement reasonable technical and organizational measures to protect the data stored on our platform. However, no system is completely secure, and we cannot guarantee the absolute security of your data.

Intellectual Property

The MrsNudgelyMail platform, including its name, logo, design, user interface, code, documentation, and all associated content, is the property of StellarClose LLC and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the MrsNudgelyMail platform without express written permission from StellarClose LLC.

Your content remains yours. You retain full ownership of all email content you create and all contact lists you upload to MrsNudgelyMail. By using the platform, you grant StellarClose LLC a limited license to process this content solely for the purpose of providing the service to you.

Limitation of Liability

To the maximum extent permitted by applicable law, StellarClose LLC shall not be liable for:

• Emails that are not delivered. Deliverability depends on many factors outside our control, including your sender reputation, email content, and recipient email provider policies.
• Damage to your sender reputation resulting from your own sending practices, email content, list quality, or sending volume.
• Legal consequences of your email content, including fines, penalties, or legal actions resulting from non-compliance with applicable email laws and regulations.
• Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of whether StellarClose LLC was advised of the possibility of such damages.

Maximum liability. In no event shall StellarClose LLC's total cumulative liability to you for all claims arising from or related to your use of MrsNudgelyMail exceed the total fees you have paid to StellarClose LLC during the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless StellarClose LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of MrsNudgelyMail, including any actions taken through your account
• The content of any emails you send using the platform
• Your contact lists, including how contacts were obtained and whether proper consent was secured
• Your compliance or non-compliance with the CAN-SPAM Act, GDPR, CASL, or any other applicable email laws and regulations
• Your violation of these Terms of Service
• Your violation of any rights of any third party

This indemnification obligation shall survive the termination of your account and these Terms of Service.

Account Termination

StellarClose LLC reserves the right to suspend or terminate your account at any time if you violate these Terms of Service, particularly the Acceptable Use Policy outlined in Section 4.

Warning and escalation. For minor or first-time violations, we will generally attempt to notify you and provide an opportunity to remedy the issue before taking action. However, we reserve the right to act immediately and without prior notice in cases of serious violations, including but not limited to:

• Sending phishing, malware, or fraudulent emails
• Generating a high volume of spam complaints
• Engaging in activity that threatens the security or integrity of the platform
• Engaging in activity that could expose StellarClose LLC to legal liability

Effect of termination. Upon termination, your access to MrsNudgelyMail will be revoked. You may request an export of your data within 30 days of termination by contacting support@mrsnudgelymail.com. After 30 days, your data may be permanently deleted.

Disclaimer

MrsNudgelyMail is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

StellarClose LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee email deliverability. Email delivery is subject to factors beyond our control, including the policies of email service providers such as Gmail, Outlook, Yahoo, and others. We make no representations or warranties that your emails will reach recipients' inboxes, avoid spam filters, or be delivered at all.

We are not responsible for third-party email provider actions. How email providers handle, filter, categorize, or block your messages is entirely outside our control and responsibility.

We are not a law firm and do not provide legal advice. Nothing on the MrsNudgelyMail platform, including our compliance tools, educational content, templates, or guidance, constitutes legal advice. You should consult a qualified attorney for questions about email marketing law and compliance specific to your situation.

Changes to Terms

StellarClose LLC reserves the right to modify, amend, or update these Terms of Service at any time. When we make material changes, we will notify you via the email address associated with your account.

The updated terms will indicate a new "Last updated" date at the top of this page. Your continued use of MrsNudgelyMail after the effective date of any changes constitutes your acceptance of the revised terms.

If you do not agree to the updated terms, you must stop using the service and may cancel your subscription as described in Section 6.

Governing Law

These Terms of Service and any disputes arising out of or related to them or your use of MrsNudgelyMail shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Washtenaw County, Michigan, and you hereby consent to the personal jurisdiction and venue of such courts.
